Terms of Service

1. The Service

NewBiz Alert provides newly registered business leads sourced from public state records, along with search, filtering, alerts, and export tools to support your business-development outreach. We may add, change, or remove features over time to improve the service.

2. Accounts

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must provide accurate information when you sign up and keep it current. You must be authorized to act on behalf of any business you register the account for.

3. Subscriptions, Trials, and Billing

NewBiz Alert is offered on a subscription basis, billed per state. Trials and paid plans are subject to the pricing and limits shown at signup. Subscriptions renew automatically until you cancel. You can cancel at any time, and your access continues through the end of the current paid period. Fees already paid are non-refundable except where required by law or expressly stated in these Terms.

4. Acceptable Use and Service Limits

You agree to use NewBiz Alert only for your own legitimate business-development use, and to respect the limits that keep the service fast, stable, and affordable for everyone. You agree that:

• You will not exceed, circumvent, evade, or interfere with any rate limits, usage quotas, or throttling we apply to the application, the API, the data export, or the search and query services.
• You will not use automated means such as scrapers, bots, or scripts to issue bulk or excessive queries, or to access, copy, or harvest the data beyond normal interactive use of the product.
• You will not attempt to overload, degrade, disrupt, probe, or reverse engineer the service or its underlying data and query infrastructure.
• The lead data is licensed to you for your own outreach. You may not sell, lease, convey, publish, redistribute, relicense, or otherwise make available to any third party any data provided through NewBiz Alert, in whole or in part.

We may monitor usage and may throttle, suspend, or terminate access, without refund for the affected period, for activity that abuses these limits or threatens the stability, cost, or integrity of the service.

5. Data and Outreach Compliance

NewBiz Alert leads are drawn from public records and consist of business identity and address information. You are solely responsible for your use of the data and for contacting any individual or business in compliance with all applicable state and federal law, including all marketing, privacy, telemarketing, and anti-spam laws.

6. Intellectual Property

The NewBiz Alert name, software, and the compiled, organized form of the service remain the property of Grisham Goldman Enterprises LLC. These Terms grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing.

7. Disclaimers and Limitation of Liability

The service and the data are provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. We do not warrant that the data is complete, accurate, or fit for a particular purpose. To the fullest extent permitted by law, Grisham Goldman Enterprises LLC is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid for the service in the twelve months before the claim arose.

8. Indemnification

You agree to indemnify, defend, and hold harmless Grisham Goldman Enterprises LLC and its officers, members, employees, and agents from any claim, loss, liability, damage, or expense, including reasonable attorneys’ fees, arising out of or related to your use of the data or the service, your outreach to any individual or business, or your violation of these Terms or of any applicable law.

9. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of the service after a change takes effect means you accept the updated Terms.
